If you are accessing or using our Services on behalf of a healthcare organization, business entity, or other organization, you represent and warrant that you have the authority to bind such organization to these Terms, and your agreement to these Terms will be treated as the agreement of such organization.

Real-Time Patient Monitoring Platform

Vitals 360 provides a comprehensive real-time patient monitoring platform designed to support healthcare providers in delivering enhanced patient care through continuous vital signs monitoring, advanced analytics, and clinical decision support tools. Our platform integrates with various medical devices, wearable sensors, and healthcare information systems to provide seamless monitoring capabilities.

Core Monitoring Services: Our platform continuously collects, processes, and analyzes vital signs data including heart rate, blood pressure, respiratory rate, oxygen saturation, temperature, and other physiological parameters. The system provides real-time monitoring dashboards, automated alert systems, and comprehensive reporting tools that enable healthcare providers to make informed clinical decisions.

Website and Digital Services

Our website provides information about our services, enables prospective clients to request demonstrations and information, facilitates business partnerships, and serves as a portal for accessing our monitoring platform.

User Accounts and Access

Account Registration and Authentication

Access to our monitoring platform requires creation of a user account with appropriate authentication credentials. Account registration is restricted to authorized healthcare providers, business partners, and other individuals who have been granted access by healthcare organizations using our services.

Healthcare Provider Accounts: Healthcare providers must provide professional credentials, licensing information, and organizational affiliation to establish accounts. We verify professional credentials and organizational authorization before granting access to patient monitoring data and clinical features.

Account Responsibilities

Users are responsible for maintaining the accuracy of their account information, protecting their login credentials, ensuring appropriate use of the platform, and complying with all applicable laws and regulations.

Acceptable Use Policy

Permitted Uses

Our Services are intended solely for legitimate healthcare purposes, including patient monitoring, clinical decision support, care coordination, and related healthcare activities. Service Availability and Performance

System Availability

We strive to maintain high system availability and reliability to support critical healthcare monitoring activities. However, we cannot guarantee uninterrupted service availability due to factors including scheduled maintenance, system updates, network issues, and unforeseen technical problems.

Performance Standards

We maintain performance standards designed to support effective healthcare monitoring, including response time targets, data accuracy requirements, and system reliability metrics. However, healthcare organizations remain responsible for implementing appropriate backup procedures and alternative monitoring methods.

Fees and Payment Terms

Use of our monitoring platform and related services is subject to fees as specified in separate service agreements or pricing schedules. Fees may be based on factors including number of monitored patients, system usage levels, and additional services requested.

Billing and Payment: Fees are typically billed monthly or annually in advance, depending on the terms of your service agreement. Payment is due within thirty days of invoice date unless otherwise specified in your service agreement.

Limitation of Liability and Disclaimers

Service Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties including warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you for our Services during the twelve months preceding the claim.

Indemnification

Healthcare organizations agree to indemnify and hold us harmless from any claims, damages, or expenses arising from their use of our Services, violation of these Terms, breach of applicable laws or regulations, or negligent or wrongful acts related to patient care or data handling.

Termination

Either party may terminate service agreements in accordance with the terms specified in such agreements. We reserve the right to suspend or terminate access to our Services immediately if we reasonably believe that continued access poses a risk to patient safety, system security, or legal compliance.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Vitals 360 regarding our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Modifications

We may modify these Terms from time to time by posting updated terms on our website. Material changes will be communicated to users with appropriate advance notice. Continued use of our Services after changes become effective constitutes acceptance of the modified Terms.
